Terms of Service

1. Acceptance of terms

PostandBid LLC ("PostandBid," "we," "us," or "our") operates an online marketplace connecting homeowners with independent contractors, referred to throughout these Terms as "Professionals." These Terms of Service form a legally binding agreement between you and PostandBid. By creating an account or using the platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Electronic signatures and agreements

By checking a box, clicking a button, or otherwise indicating your agreement electronically anywhere on the PostandBid platform, you agree that such action constitutes a legally valid electronic signature and acceptance of these Terms, to the same extent as a handwritten signature, under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law. You consent to receive all agreements, notices, and disclosures related to your use of PostandBid electronically.

3. Nature of the platform

PostandBid is a marketplace only. We do not perform home improvement work, employ professionals, or act as a general contractor. All service contracts are formed directly between homeowners and independent contractors. PostandBid is not a party to those agreements and is not responsible for the quality, safety, completion, or any other aspect of the work performed.

4. Relationship of the parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and PostandBid. You and PostandBid are independent parties, and neither has the authority to bind the other or to act on the other's behalf except as expressly stated in these Terms.

5. Eligibility

You must be at least 18 years old, reside in the United States, and have the legal capacity to enter into binding contracts to use PostandBid. You may not use PostandBid if you have been previously suspended or removed from the platform. PostandBid does not knowingly collect personal information from anyone under the age of 13 in compliance with the Children's Online Privacy Protection Act (COPPA).

6. Accounts

• You must provide accurate and complete information when creating an account.
• You may maintain only one account per person per account type.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• Creating multiple accounts to evade restrictions, suspensions, or bans is prohibited and may result in permanent removal from the platform.
• You agree to notify us immediately at support@postandbid.com if you suspect any unauthorised use of your account.

7. Homeowner terms

• You are responsible for providing accurate, honest, and complete project descriptions.
• You must be the owner of the property or be authorised to commission work on it.
• Accepting a bid creates a direct contract between you and the professional. PostandBid is not a party to that agreement.
• You must conduct your own due diligence before hiring any professional, including independently verifying their licences, insurance, and references.
• Reviews must be honest, accurate, and based on genuine first-hand experience. Fake, incentivised, or retaliatory reviews are prohibited.
• PostandBid reserves the right to suspend or permanently remove homeowners who post false or misleading project descriptions, leave fraudulent or retaliatory reviews, repeatedly decline bids without genuine cause, or otherwise act in bad faith toward professionals or the platform.

8. Professional terms

• Professionals are independent third parties, not employees, partners, or agents of PostandBid. You are solely responsible for your work, licensing, insurance, taxes, and legal compliance.
• By placing a bid, you represent that you are qualified, licenced where required, and genuinely available to perform the work described.
• Your bid amount must be a genuine and considered estimate of the cost to complete the described work.
• Professionals who accept a bid and fail to perform the work without reasonable notice to the homeowner may be suspended or permanently removed from the platform.
• You agree to maintain professional standards in all communications and work performed through PostandBid, including responding to messages in a timely manner and honouring accepted bids.

9. Insurance requirements for professionals

Professionals are solely responsible for maintaining any insurance coverage required by law or industry standard for the work they perform, including but not limited to general liability insurance and, where applicable, workers' compensation insurance. PostandBid does not provide, verify, or guarantee insurance coverage for any professional on the platform. Homeowners are responsible for independently confirming a professional's insurance coverage before hiring.

10. Payments and refunds

• All payments are processed via Stripe, a third-party payment processor. By making a payment you also agree to Stripe's terms of service. PostandBid does not store your full card details.
• All payments are processed on the PostandBid website (postandbid.com) only. No payments are processed within any mobile application.
• Posting a project is free. Homeowners are only charged once they open their first bid on that project, or if they subscribe to a paid plan.
• If a project has not received a bid within 14 days of posting, PostandBid may reach out with suggestions to help it get noticed, such as refining the description or category.
• Once a fee has been charged (either the single-post unlock fee or a subscription payment), that fee is generally non-refundable.
• PostandBid does not process, handle, or mediate payments between homeowners and professionals for the actual work performed. Those transactions are entirely private between the two parties.

11. Professional credentials

PostandBid does not verify, investigate, or confirm licences, insurance certificates, certifications, background, or any other credentials of any professional on the platform, under any circumstances. This applies regardless of how credentials are displayed, described, or labelled on the platform. All credentials shown are self-reported directly by the professional and are not independently checked by PostandBid at any stage — at signup, before a bid is placed, before a bid is accepted, or at any point thereafter.

Homeowners bear sole and complete responsibility for independently verifying any professional's licensing, insurance, certifications, and qualifications before allowing that professional to begin work on their property. This verification should happen directly with the relevant state or local licensing authority, not through PostandBid. PostandBid makes no representation, warranty, or guarantee — express or implied — regarding the accuracy, completeness, or currency of any professional's stated credentials.

Many states provide free, public license-lookup tools through their contractor licensing board or equivalent state agency. Homeowners are strongly encouraged to use these tools before hiring any professional found through PostandBid.

12. Content and conduct

• By posting content on PostandBid you grant PostandBid a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content for the purpose of operating the platform. You retain ownership of your content.
• You agree not to post content that is false, misleading, harassing, hateful, sexually explicit, violent, illegal, or otherwise inappropriate.
• Off-platform solicitation — sharing personal contact information such as phone numbers or email addresses to bypass PostandBid's platform — is prohibited.
• PostandBid operates a three-strike policy for language violations. A first violation results in content removal and a warning. A second violation within a rolling six-month period results in a 48-hour suspension. A third violation results in account suspension pending human review. Targeted harassment, hate speech, or slurs bypass the strike system and may result in immediate permanent removal.
• Uploading sexually explicit, violent, or otherwise inappropriate images is a zero-tolerance violation. Accounts found to have uploaded such content will be immediately suspended pending human review. Confirmed violations result in permanent removal from the platform. No refunds of any posting fees, subscription fees, or bid credits will be issued in cases of confirmed inappropriate image violations — misuse of the platform forfeits any right to reimbursement.
• PostandBid reserves the right to remove any content that violates these Terms without notice.

13. Publicity

You grant PostandBid the right to use your name, business name, profile information, project photos, and reviews in PostandBid's marketing materials, website, app, and social media — including features such as project highlights or contractor spotlights — without additional compensation. You may opt out of this use at any time by contacting support@postandbid.com. This does not affect PostandBid's right to use your content for the ordinary operation of the platform as described elsewhere in these Terms.

14. Dispute resolution

Disputes between users

PostandBid provides tools to facilitate communication between homeowners and professionals in the event of a dispute. We do not adjudicate disputes, determine fault, issue rulings, or compel either party to take any particular action. PostandBid is not a party to disputes between users and assumes no liability for their outcomes.

Disputes with PostandBid

Any dispute between a user and PostandBid will first attempt informal resolution by contacting us at support@postandbid.com . The parties will have 30 days from initial contact to attempt informal resolution. If unresolved after that period, disputes will be settled through binding arbitration in King County, Washington, under the rules of the American Arbitration Association.

15. Waiver of jury trial

To the fullest extent permitted by law, you and PostandBid each waive any right to a trial by jury in any legal proceeding arising out of or relating to these Terms or your use of the platform, to the extent such proceeding is not subject to the arbitration provisions above.

16. Equitable relief

You acknowledge that a breach of these Terms — including unauthorised use of PostandBid's intellectual property or confidential information — may cause harm for which monetary damages alone would be an inadequate remedy. Accordingly, PostandBid may seek injunctive or other equitable relief in addition to any other remedies available at law.

17. Limitation of liability

To the fullest extent permitted by law, PostandBid is not liable for the quality, safety, legality, or completion of any work performed by professionals; any property damage or personal injury arising from professional work; or any indirect, incidental, special, consequential, or punitive damages of any kind.

PostandBid's total liability to you for any claim is limited to the greater of $1,000 or the total amount you paid PostandBid in the 12 months preceding the claim.

The platform is provided on an "as is" and "as available" basis with no warranties of any kind, either express or implied.

PostandBid makes no guarantee that any project listing will receive bids, that bids received will meet a homeowner's budget expectations, or that any professional will be available in a homeowner's area. The posting fee covers access to the platform only — it does not guarantee any particular outcome or level of professional interest.

18. Indemnification

You agree to indemnify, defend, and hold harmless PostandBid LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your negligent or wrongful use of the platform; (b) your violation of these Terms; (c) your violation of any rights of another party, including intellectual property or privacy rights; or (d) any content, project posting, bid, or communication you submit through PostandBid. This obligation will survive termination of your account. This indemnification obligation does not apply to the extent a claim arises from PostandBid's own gross negligence or willful misconduct.

19. Assignment

PostandBid may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer these Terms, or any rights or obligations under them, without PostandBid's prior written consent.

20. No waiver

PostandBid's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by PostandBid.

21. Notice provisions

Any notices to PostandBid under these Terms must be sent to support@postandbid.com. Notices to you may be sent to the email address associated with your account. Notices are deemed given 24 hours after being sent by email, unless the sender is notified that the email address is invalid.

22. Third-party beneficiaries

These Terms do not create any rights enforceable by any person or entity that is not a party to them, except as expressly stated in these Terms.

23. Intellectual property

PostandBid's name, logo, platform design, and all associated intellectual property are owned by PostandBid LLC. You may not use, reproduce, or distribute any PostandBid branding or content without prior written permission. Nothing in these Terms grants you any licence to use PostandBid's intellectual property except as strictly necessary to use the platform.

24. Copyright disputes (DMCA)

PostandBid respects the intellectual property rights of others and expects users to do the same. If you believe content posted on PostandBid infringes your copyright, you may submit a notice to our designated agent at support@postandbid.com, including: (a) a description of the copyrighted work you believe has been infringed; (b) the location of the allegedly infringing material on PostandBid; (c) your contact information; (d) a statement that you have a good faith belief the use is not authorised; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorised to act on behalf of the copyright owner.

PostandBid will respond to valid notices in accordance with the Digital Millennium Copyright Act, which may include removing or disabling access to the reported content and, where appropriate, suspending or terminating the accounts of repeat infringers.

25. Accessibility

PostandBid is committed to providing a platform that is accessible to all users, including users with disabilities. If you encounter any accessibility barriers while using PostandBid, please contact us at support@postandbid.com so we can work to address them.

26. Force majeure

PostandBid is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, power failures, acts of government, pandemics, or other events outside our control.

27. Termination

PostandBid reserves the right to suspend or terminate accounts at any time for violations of these Terms, conduct harmful to the platform or its users, or for any other reason at our sole discretion. You may close your account at any time by contacting support@postandbid.com . Closing your account does not entitle you to a refund of any unused credits or fees except as required by applicable law.

28. Survival

The following sections shall survive any termination of your account or these Terms: Payments and Refunds (as to amounts owed), Credentials Disclaimer, Content and Conduct, Dispute Resolution, Waiver of Jury Trial, Limitation of Liability, Indemnification, Intellectual Property, and any other provision that by its nature should reasonably survive termination.

29. Headings and interpretation

The headings used in these Terms are for convenience only and do not affect their interpretation. Unless the context requires otherwise, words in the singular include the plural and vice versa, and the word "including" means "including without limitation."

30. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

31. Changes to terms and governing law

We may update these Terms at any time. We will notify registered users of material changes by email or prominent notice on the platform at least 14 days before changes take effect. Continued use of PostandBid after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Washington, United States. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in King County, Washington.

32. Entire agreement

These Terms, together with the Privacy Policy and any other legal notices published by PostandBid on the platform, constitute the entire agreement between you and PostandBid regarding your use of the platform, and supersede any prior agreements between you and PostandBid relating to the platform.
